1. Introduction

Please read these Terms of Service (“Terms”) carefully. These Terms form an agreement between you and The Travelers Indemnity Company (“Travelers”) regarding your use of the website at http://www.touredmc.com and any other Travelers-owned or operated websites (the “Websites”), as well as the software applications provided by or for Travelers for use on computers and mobile devices (the “Apps”). Collectively, the Websites and Apps, along with any related materials and services provided by Travelers, are referred to as the “Online Properties.”

Your use of the Online Properties signifies your acceptance of these Terms. Travelers may modify these Terms at any time, and such changes will take effect once the updated Terms are posted on the Online Properties or otherwise communicated to you. Continued use of the Online Properties indicates your acceptance of the revised Terms.

If you are using the Online Properties on behalf of a company or organization, you confirm that you have the legal authority to bind that entity to these Terms.

By using the services, you agree to resolve any disputes through binding arbitration or small claims procedures and waive your right to participate in a class action lawsuit. These Terms include a mandatory arbitration provision.

If you are a Travelers agent, specific terms and conditions may apply to you, which could override these Terms.

2. Jurisdictional Issues; Compliance with Laws

The Online Properties are managed from the United States and are not intended to subject Travelers to the laws or jurisdiction of any state, country, or territory other than the United States. The Online Properties and related products may not be appropriate or available for use in some non-U.S. jurisdictions. You must comply with all applicable laws and regulations when using the Online Properties and related products.

3. Rules of Conduct

You must not post, transmit, or make available any materials through or in connection with the Online Properties that may be illegal or objectionable to Travelers, or use the Online Properties in any manner deemed illegal or objectionable by Travelers.

Prohibited materials include, but are not limited to: any harmful or invasive computer code, files, or programs intended to damage or hijack hardware, software, or equipment.

Prohibited activities include, but are not limited to:

• harvesting or collecting information about Online Property users;

• interfering with the operation of the Online Properties or their associated servers or networks;

• using any part of the Online Properties except as expressly authorized;

• reverse engineering, decompiling, or disassembling any portion of the Online Properties, except where such restriction is prohibited by law;

• using any automated systems like robots or spiders to retrieve, index, “scrape,” “data mine,” or otherwise gather content from the Online Properties, or to reproduce or circumvent the site’s navigational structure.

4. Disclaimer

The Online Properties may offer listings, links, services, and descriptions or images of goods or services (“Products”). These Products may be provided by third parties (“Third Party Products”). THE ONLINE PROPERTIES AND ANY PRODUCTS, INCLUDING THIRD PARTY PRODUCTS, ARE PROVIDED “AS IS” WITHOUT ANY WARRANTIES. TRAVELERS DISCLAIMS ALL WARRANTIES TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

5. Use of Third Party Products

Your use of Third Party Products is subject to any additional terms and policies applicable to those products (such as terms of service or privacy policies from the third-party providers).

6. Registration; Usernames and Passwords

You may need to register to access all or part of the Online Properties. Unauthorized access or use of registered sections is prohibited. Your username and password are for personal use only and must be kept confidential. You must promptly inform Travelers of any breach of confidentiality or unauthorized use of your username, password, or account.

7. Submissions

You represent and warrant that any information you provide through or in connection with the Online Properties (each, a “Submission”) is accurate and complete and will be updated as necessary. By making a Submission, you grant Travelers a worldwide, royalty-free, fully paid-up, non-exclusive, perpetual, irrevocable, transferable, and sublicensable (through multiple tiers) license to use, reproduce, distribute, perform, display, create derivative works of, adapt, modify, and exploit the Submission in any format or media, without additional consideration. This applies to all Submissions, but personal data remains subject to the Travelers Online Privacy Statement.

8. Consent to Monitoring of Activity on Online Properties

Travelers may monitor your use of the Online Properties and capture information about your activity for business purposes. This includes clicks, page views, time spent on pages, and other actions. Cookies and tracking technologies described in our Online Privacy Statement may also collect this information. Travelers may disclose captured information to third parties. By using the Online Properties, you consent to this monitoring and disclosure.

If you interact with chat functionalities, your conversations may be retained for business purposes. Information entered into forms or fields may also be captured and retained. If you do not consent to this monitoring, you should not use the Online Properties. You may opt out of certain tracking technologies via the Cookie Settings menu.

9. Transactions

Travelers provides the option to make payments for certain Products through the Online Properties (“Transaction”). If you want to make a Transaction, you may need to provide relevant details, such as your credit card number and expiration date, billing address, and shipping information. You guarantee that you have the right to use any credit card you submit for a Transaction. By submitting this information, you allow Travelers to share it with third parties to facilitate Transactions. You agree to pay all charges incurred by you or on your behalf through the Online Properties at the applicable rates when the charges are incurred. You are also responsible for any taxes related to your Transactions. While we typically confirm orders and payments via email, receiving an email confirmation does not constitute our acceptance of an order or payment, or our confirmation of an offer to sell a Product.

10. Proprietary Rights

The Online Properties are protected by proprietary rights and laws. You may reference, copy, and use materials on the Online Properties for personal, non-commercial purposes only, provided your copies retain all copyright, trademark, and other proprietary notices on the original screens. Travelers and the Travelers Umbrella logo are registered trademarks of The Travelers Indemnity Company in the U.S. and other countries. Other trademarks, service marks, trade names, logos, URLs, domain names, and icons on the Online Properties are owned by Travelers or the Affiliated Entities. All aspects of the Online Properties are proprietary to Travelers, and nothing on the Online Properties grants you any intellectual property rights to them without the express prior written consent of the owner.

11. App Limited License

The App is licensed, not sold, to end users. Subject to your compliance with these Terms, and as long as you are permitted by Travelers to use the App, Travelers allows you to install and use the App on a mobile device you own or control on a limited, non-exclusive, revocable, non-transferable, non-sublicensable basis.

12. Limitation of Liability

Travelers will not be liable for personal injury or any indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, under any legal theory, including damages for loss of profits, data use, intangibles, security breaches of Submissions, business interruption, or other commercial damages or losses, even if advised in advance of such damages or losses. Travelers is not liable for any damages resulting from your use of or inability to use the Online Properties or any Products. Your sole remedy for dissatisfaction with the Online Properties or any Products is to stop using them. The maximum aggregate liability of Travelers for all damages, losses, and causes of action is fifty U.S. dollars ($50.00). Limitations of liability apply to both Travelers and the Affiliated Entities.

Applicable law may not allow for the limitation of certain warranties or damages; to the extent such law applies, some limitations may not apply to you, and you may have additional rights.

13. Indemnity

To the extent allowed by law, you agree to defend, indemnify, and hold harmless Travelers and the Affiliated Entities from all claims, losses, costs, and expenses, including attorneys’ fees, arising from (a) your use of the Online Properties (including Submissions) and (b) your violation of these Terms.

14. Termination

These Terms are effective until terminated. Travelers may terminate these Terms and/or suspend or terminate your access to the Online Properties at any time without notice, including if you violate these Terms. Upon termination, your right to use the Online Properties will cease immediately, and Travelers may deactivate or delete your account and associated materials without obligation. Sections 1-10 and 12-20 will survive any termination of these Terms.

15. Governing Law; Arbitration

These Terms are governed by Connecticut law, without regard to conflict of law principles. Except for disputes qualifying for small claims court, all disputes arising from these Terms will be resolved through binding arbitration instead of court. Both you and Travelers waive the right to a trial by jury and to participate in class actions. Arbitration will be administered by JAMS according to its Comprehensive Arbitration Rules and Procedures, as modified by these Terms. Hearings will be by teleconference or videoconference unless an in-person hearing is deemed appropriate. In-person hearings will be held at a mutually convenient location. The arbitrator’s decision will follow these Terms and will be binding. The arbitrator can award necessary injunctive relief based on individual claims. The award may be enforced in any court with jurisdiction. Connecticut courts have exclusive jurisdiction over any related disputes. This does not preclude you from seeking relief from federal, state, or local agencies.

17. Government Users

The Apps and related documentation are “Commercial Computer Software” and “Commercial Computer Software Documentation,” as defined in 48 C.F.R. §§ 2.101, 12.212, and 227.7202, and are licensed under the limitations of 48 C.F.R. §§ 12.212 or 227.7202, as applicable.

18. Miscellaneous

If any provision of these Terms is found unlawful, void, or unenforceable, it will be severable from the remaining provisions, which will remain valid. No waiver of any breach or default will be deemed a waiver of any preceding or subsequent breach or default. Notices to you may be made via posting to the Online Properties, email, regular mail, or other reasonable means.

19. Third-Party Beneficiaries

Each Affiliated Entity is a third-party beneficiary of these Terms and may enforce the terms.
